The following terms & conditions regulate any use of the website RGATheNomad.com and all of it’s content, services and products available in the website or through it. The website is offered subject to your acceptance without modification of all the terms & conditions quoted from here on including all the norms, policies and procedures of functioning that RGATheNomad may publish in certain periods of time in this website (as a whole, the “agreement”).

Please read this agreement carefully before accessing or utilizing this website. By accessing or utilizing any part of this website, you agree to abide to the terms & conditions of the following agreement. If you do not agree with all the terms & conditions of this agreement, you won’t be able to access the website nor utilize any of the services. If this terms & conditions are considered an offer by RGATheNomad, it’s acceptance is expressly limited to such conditions.

This website is not addressed to people under 18 years old and the service of the website it’s only offered to users over 18 years old. You mustn’t register to use the website if you are under 18. Any person registered as a user or that shares their personal information to this website declares that he/she is over 18 years old.

These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the rgathenomad.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and RGA The Nomad Digital Solutions Inc. (“RGA The Nomad Digital Solutions Inc.”, “we”, “us” or “our”). By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Website and Services. You acknowledge that this Agreement is a contract between you and RGA The Nomad Digital Solutions Inc., even though it is electronic and is not physically signed by you, and it governs your use of the Website and Services.

Accounts and membership

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.

User content

We do not own any data, information or material (collectively, “Content”) that you submit on the Website in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on the Website submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Billing and payments

You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. If auto-renewal is enabled for the Services you have subscribed for, you will be charged automatically in accordance with the term you selected. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.

Accuracy of information

Occasionally there may be information on the Website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, availability, promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website or Services is inaccurate at any time without prior notice (including after you have submitted your order). Backups

We perform regular backups of the Website and its Content, however, these backups are for our own administrative purposes only and are in no way guaranteed. You are responsible for maintaining your own backups of your data. We do not provide any sort of compensation for lost or incomplete data in the event that backups do not function properly. We will do our best to ensure complete and accurate backups, but assume no responsibility for this duty.

All trademarks, service marks, graphics and logos used in connection with the Website and Services, are trademarks or registered trademarks of RGA The Nomad Digital Solutions Inc. or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Website and Services may be the trademarks of other third parties. Disclaimer of warranty

You agree that such Service is provided on an “as is” and “as available” basis and that your use of the Website and Services is solely at your own risk. Limitation of liability

To the fullest extent permitted by applicable law, in no event will RGA The Nomad Digital Solutions Inc., its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of RGA The Nomad Digital Solutions Inc. and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to RGA The Nomad Digital Solutions Inc. for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

Indemnification

You agree to indemnify and hold RGA The Nomad Digital Solutions Inc. and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Website and Services or any willful misconduct on your part.

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of British Columbia, Canada without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Canada. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in British Columbia, Canada, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Assignment

You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of its rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of its assets or stock or as part of a merger.

Miscellaneous

This agreement constitutes the entire agreement between RGA The Nomad Digital Solutions Inc. and the user (that is, you) in relation to the subject matter of this document and may only be modified by means of a written correction signed by an authorized RGA The Nomad Digital Solutions Inc. executive, or through the publication of a revised version by RGA The Nomad Digital Solutions Inc. Except to the extent that the relevant laws, if any, establish otherwise, by this agreement, access or use of the website will be governed by the laws of the province of British Columbia (Canada), with the exception of conflicts with the legislative provisions; likewise, the appropriate place to resolve conflicts arising from this contract or related to it will be the provincial or federal courts of British Columbia, Canada. The arbitration will take place in British Columbia (Canada); likewise, the arbitration decision may be enforced in any court. The party that prevails in any action or procedure to execute this agreement will have the right to be paid the costs and court fees. If any part of this agreement is not valid or can not be executed, said part will be interpreted in a way that reflects the original intention of the parties and the remaining sections will continue to be fully valid and effective. The waiver by any of the parties of a term or condition of this agreement or any breach of the agreement, in any case, will not imply the waiver of said term or condition or subsequent breaches of the agreement. You may assign the rights granted by this agreement to any party that accepts its terms and conditions and agrees to be bound by them; RGA The Nomad Digital Solutions Inc. may assign the rights granted by this agreement without any condition. This agreement will be binding and will be in the best interests of the parties, their successors, and the authorized assignees.

You agree that you will not use any script, robot, spider, web crawler, screen scraper, automated query program or other automated device or any manual process to monitor or copy the content contained in any online services. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the RGA The Nomad’s online services, and that you will not disturb the normal operation of such services. You agree that you will not take any action that imposes an excessive, unreasonable or disproportionately large load on our infrastructure. You agree not to use the service in a manner that harasses or may harass other parties, or that will or will have the potential to disrupt, undermine, corrupt, diminish or otherwise threaten or jeopardize the service or its integrity.

Appointment’s cancellations

All the appointments cancellations must be done within at least 2 hours before the start of the appointment, otherwise the appointment won’t be refunded.

The cancellations can be done using the customer panel or by calling us and talking with a representative.

If the customer doesn’t show to an appointment, the appointment won’t be refunded and they will be marked as no-show, if a customer has more than 3 no-shows during a period of 6 months, their account may be suspended.

Appointment’s rescheduling

All the appointments rescheduling must be done within at least 2 hours before the start of the appointment.

The rescheduling can be done using the customer panel or by calling us and talking with a representative.

A customer can reschedule the appointment up to 2 times before it is cancelled, and it no longer qualifies for a refund.

Information for projects

You agree:

  1. To provide all of the requested information for the purposes of developing your project.
  2. To be responsible, at all times, for the accuracy and completeness of the information provided during the development of your project, and to inform RGA The Nomad Digital Solutions Inc. of any changes that affect the development.
  3. That any information you provide is true, accurate, and complete.

Changes and amendments

We reserve the right to modify this Agreement or its terms relating to the Website and Services at any time, effective upon posting of an updated version of this Agreement on the Website. When we do, we will revise the updated date at the bottom of this page. Continued use of the Website and Services after any such changes shall constitute your consent to such changes.

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services.

Project Abandonment Policy

Delays

We will do our best to stick to the timeline described here. In order for us to keep things moving, we need you to provide us with the information, approvals, and responses we need when we request them from you.
In the event of client delays, we will extend the timeline required to complete your project and we will notify you of this.

In the event of client delays exceeding seven calendar days from us requesting a response, we reserve the right to stop work on the project and bill in full for work performed. Work will resume once payment is received and requested information is obtained, as long as this happens within 3 months of the initial payment date.

Changing Your Mind

As a client, you have the right to change your mind about every element of your project.

As your provider, we have the right to be paid for all work performed, including having to re-do, re-strategize, re-plan, or re-work something because you changed your mind.

If you decide that you want to change any element of the project, you need to let us know immediately. When you do, we’ll review your changes and decide whether we need to change the terms of our agreement, including timelines, prices, etc.

If the number of requested changes requires a significant change to the Scope of Services, we will stop working on the project, and issue a final invoice for the work already performed. Once that invoice has been paid, we will create a new proposal for you that reflects the changes you requested.

If the number of requested changes are minor, we will discuss the necessary changes to our pricing and process and agree to those terms before continuing work on your project.

Project Abandonment

If after repeated attempts to begin, continue, or finalize the delivery of services, Customer fails to participate, or becomes otherwise unresponsive to Company requests for a period of three (3) months, the project may be considered abandoned, and Company shall have the right to charge any needed amount beyond the initial deposit fee to provide for work performed up to the date of abandonment. Upon the Company deeming the project abandoned, and notifying the Customer of such, Customer agrees to forfeit all rights to receive any refund for Services purchased as described in the Proposal.

The application of credit in favor of the Client related to any remaining balance is up to discretion of the Company and could only be applied within the first four (4) months of the initial payment date as long as a new fiscal year hasn’t started, otherwise, there will be no credit offered/applied.
